This is an administrative appeal from an order of the Public Utility Commission (the Commission) reducing rates charged for electric utility service by the Central Power and Light Company (CPL). The City of Alice and 85 other cities (Cities), as well as the Office of Public Utility Counsel (OPC), intervened in the administrative proceedings and appealed portions of the Commission's order to the district court. The district court reversed two aspects of the Commission's order, only one of which has been appealed, and affirmed the order in all other respects. The Commission, Cities, and OPC appeal that portion of the trial court's judgment determining that the Commission's calculation of consolidated tax savings constituted retroactive ratemaking. Cities also bring two independent issues on appeal, complaining that the Commission (1) violated the affiliate-transaction statute by including factoring costs paid by CPL in cost-of-service calculations, and (2) erroneously included expenses associated with the promotion of increased consumption of electricity in its rates. CPL brings four issues on appeal, complaining that (1) the Commission set an unreasonably low rate of return on invested capital that is not supported by substantial evidence, (2) certain findings and conclusions in the Commission's order should be reversed and stricken, (3) the Commission should have included actual attendant impacts from two new facilities in the test-year calculations, and (4) CPL should have been allowed to recover $12.6 million in disallowed affiliate expenses. *fn1 We will affirm the trial court's judgment in part and reverse and remand in part.
